Terms & Conditions of Service

1. Acceptance of Terms & Scope of Agreement

These Terms and Conditions ("Terms", "Agreement") constitute a legally enforceable digital contract between IAT-C7 Software Studio ("Studio", "we", "us", operated by Lead Architect Laxman Choudhary) and the person, business entity, or authorized representative ("Client", "you") commissioning software engineering, web development, mobile application programming, cloud database architecture, UI/UX design, or technical consulting services.

By submitting an inquiry, paying an advance booking token, approving an electronic project estimate, signing into the Client Portal (https://iat-c7.web.app/portal.html), or engaging our engineering team, you acknowledge that you have read, understood, and agreed to be unconditionally bound by these Terms.

2. Project Commissioning & Scope of Work (SOW)

All software development commissioned with IAT-C7 is executed pursuant to a defined Scope of Work (SOW) or technical feature breakdown agreed via written electronic correspondence (Email, WhatsApp, or Client Portal):

• Baseline Scope: The initial deliverables, system architecture, third-party integrations, database schema, and layout designs agreed upon prior to project kickoff.
• Change Request Protocol ("Scope Creep"): Any features, design revisions, database modifications, or API integrations requested by the client that fall outside the agreed SOW will be evaluated as a separate billable change request with an adjusted delivery timeline.
• Architectural Discretion: IAT-C7 reserves technical discretion regarding code structure, software libraries, hosting optimizations, and security best practices required to ensure high-performance execution.

3. Commercial Billing & 40-40-20 Milestone Structure

Unless otherwise explicitly contracted in a bespoke enterprise agreement, project billing is structured across three standard milestone releases:

Default & Late Settlements: If a milestone invoice remains unpaid for more than 7 business days following delivery of the corresponding staging phase, IAT-C7 reserves the right to pause active development and suspend staging sandbox access until account reconciliation.

4. Client Responsibilities & Content Provision

To maintain rapid turnaround timelines (3 to 5 business days for standard websites, 7 to 14 days for custom SaaS portals), the client covenants to:

• Provide all proprietary textual content, product catalogs, brand imagery, vector logos, and legal disclaimers in a timely manner.
• Furnish necessary third-party API credentials, domain registrar DNS access, and payment gateway keys required for integration.
• Designate an authorized decision-maker to review design prototypes and provide consolidated feedback within 48 business hours.
• Warrant that all materials, media, and data provided to IAT-C7 do not infringe upon any third-party copyrights, trademarks, or trade secrets.

5. Intellectual Property & Commercial Ownership

IAT-C7 adheres to a strict 100% Client Ownership Guarantee:

Portfolio & Attribution Rights: IAT-C7 retains the perpetual, non-exclusive right to display non-confidential screenshots, project summaries, and performance benchmarks of the completed software within our public studio portfolio (https://iat-c7.web.app/work.html) as a testament to our engineering craftsmanship, unless specifically prohibited under an executed Non-Disclosure Agreement (NDA).

6. Confidentiality & Proprietary Data Protection

Both parties agree to treat all business plans, financial models, user credentials, algorithmic logic, and unpublished product roadmaps disclosed during the collaboration as strictly confidential proprietary information:

• Neither party shall disclose confidential data to third parties without prior written consent.
• IAT-C7 enforces strict access controls and encrypted storage for all client databases and API credentials.
• Upon project completion or written request, all staging test data and temporary credentials will be securely wiped.

7. 30-Day Engineering Warranty & Limitation of Liability

IAT-C7 guarantees that all delivered software will perform substantially in conformance with the agreed specifications for a period of 30 calendar days post-production launch:

• Free Defect Rectification: Any code bugs, layout glitches, or database sync errors arising within 30 days will be patched without additional charge.
• Liability Cap: In no event shall IAT-C7 or its Lead Architect be liable for indirect, incidental, special, or consequential damages (including loss of profits, business interruption, or data corruption) exceeding the total fees actually paid by the client under the specific project invoice.
• Third-Party Outages: IAT-C7 is not liable for disruptions caused by third-party hosting providers (AWS, Firebase, Cloudflare), domain registrars, payment gateways (Razorpay, bank outages), or external API rate limits outside our direct operational control.

8. Governing Law, Jurisdiction & Legal Redress

This Agreement and all commercial engagements between IAT-C7 and the Client shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to conflict of law principles.

Any dispute or controversy arising out of this Agreement that cannot be amicably resolved through 30 days of direct technical mediation shall be submitted to the exclusive jurisdiction of the competent civil courts in Jodhpur, Rajasthan, India.
